These Terms of Service ("Terms") govern your access to and use of the website, mobile application, and services (collectively, the "Services") provided by Billow, Inc. ("Billow," "we," "our," or "us"). Please read these Terms carefully before using our Services.

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

1. Using the Services

1.1 Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

1.2 Registration and Account Security

To use certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately if you suspect any unauthorized use of your account or access to your password.

1.3 Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Using the Services for any illegal purpose or in violation of any laws;
  • Violating the privacy or infringing the rights of others;
  • Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Services;
  • Uploading invalid data, viruses, worms, or other software agents through the Services;
  • Collecting or harvesting any personally identifiable information from the Services;
  • Impersonating another person or otherwise misrepresenting your affiliation with a person or entity;
  • Interfering with the proper working of the Services;
  • Accessing any content on the Services through any technology or means other than those provided or authorized by the Services;
  • Bypassing the measures we may use to prevent or restrict access to the Services.

2. User Content

2.1 Content Responsibility

Our Services may allow you to upload, submit, store, send, or receive content, including but not limited to text, photos, videos, and medical bill information ("User Content"). You retain ownership rights in your User Content. However, by submitting User Content to or through our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise use the User Content for the purposes of operating, providing, and improving the Services.

2.2 Content Restrictions

You agree not to upload, submit, store, send, or receive any User Content that:

  • Infringes or violates someone else's rights;
  • Violates any law or regulation;
  • Is fraudulent, false, misleading, or deceptive;
  • Is defamatory, obscene, pornographic, vulgar, or offensive;
  • Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group;
  • Is violent or threatening or promotes violence or actions that are threatening to any person or entity;
  • Promotes illegal or harmful activities or substances.

3. Billing and Subscription

3.1 Free and Paid Services

Billow offers both free and paid Services. By signing up for a paid subscription, you agree to pay the subscription fees indicated at the time of purchase. Subscription fees are non-refundable except as required by law or as otherwise specified in these Terms.

3.2 Billing and Cancellation

Your subscription will automatically renew at the end of each subscription period unless you cancel it before the renewal date. You can cancel your subscription at any time through your account settings or by contacting us. If you cancel, you will continue to have access to the paid Services until the end of your current subscription period.

3.3 Price Changes

We may change the price of our subscription plans from time to time. Any price changes will apply to your subscription at the next billing cycle after we notify you.

4. Medical Bill Analysis and Advocacy Services

4.1 Not Medical Advice

Our Services are designed to help you understand, analyze, and potentially dispute your medical bills. The information provided through our Services is not intended to be a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition.

4.2 Bill Analysis Limitations

While we strive to provide accurate information about your medical bills, we cannot guarantee that our analysis will identify all errors or opportunities for savings. The effectiveness of our Services depends on the information you provide and other factors beyond our control.

4.3 No Guarantee of Results

We do not guarantee that our Services will result in a reduction of your medical bills or successful resolution of disputes with healthcare providers or insurance companies. The outcome of any bill dispute or negotiation depends on various factors, including the policies of your healthcare provider and insurance company.

5. Intellectual Property

5.1 Billow Intellectual Property

The Services and all content and materials included on or within the Services, including, but not limited to, text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, are the property of Billow or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2 Limited License

Subject to these Terms, Billow grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use. This license does not allow you to copy, modify, distribute, sell, lease, loan, or create derivative works of any content or materials included on or within the Services.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BILLOW DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Limitation of Liability

IN NO EVENT WILL BILLOW, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

8. Indemnification

You agree to defend, indemnify, and hold harmless Billow, its affiliates, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.

9. Governing Law and Dispute Resolution

These Terms and any action related thereto will be governed by the laws of the State of Delaware without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services will be finally settled by binding arbitration, under the rules of the American Arbitration Association. The arbitration will be conducted in English and will take place in Delaware. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

10. Changes to These Terms

We may modify these Terms from time to time. If we make material changes to these Terms, we will notify you by updating the date at the top of these Terms and, in some cases, we may provide you with additional notice. Your continued use of the Services after the modified Terms have been posted constitutes your acceptance of the modified Terms.

11. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

12. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Billow regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
